Terms and conditions
Last updated on 16 October 2026.
These terms apply to all proposals, assignments and agreements between Wice (a trade name of HUGO Music B.V.) and a client. They are meant to set out clearly and fairly what you can expect from us and what we expect from you. If this English version differs from the Dutch version, the Dutch version prevails. Questions? Email us at info@wice.design.
1. Definitions
In these terms we mean:
- Wice: the trade name of HUGO Music B.V., established at Gasthuisstraat 14K, 7571 CC Oldenzaal, registered with the Dutch Chamber of Commerce under number 72135476 (VAT number NL858999936B01), the user of these terms.
- Client: the natural person or legal entity that enters into an agreement with Wice, or receives a proposal for that purpose.
- Assignment or agreement: the arrangement under which Wice delivers services, such as strategy, design, development of websites and web apps, and AI solutions.
- Delivery: the moment Wice makes (part of) the work available to the client for review or use.
2. Applicability
These terms apply to every proposal, assignment and agreement with Wice, and to all work that follows from them, unless something else has been expressly agreed in writing.
Any purchasing or other terms of the client do not apply and are expressly rejected, unless Wice has accepted them in writing.
If part of these terms turns out to be void or voidable, the other provisions stay in force. Wice and the client will then make a new arrangement that stays as close as possible to the purpose of the original provision.
3. Proposals and formation
All proposals and price quotes are without obligation and valid for 30 days, unless the proposal states another period. Prices are in euros and exclude VAT, unless stated otherwise.
An agreement is formed when the client accepts a proposal in writing or by email, or when Wice starts the work at the client's request.
Obvious mistakes or errors in a proposal do not bind Wice.
4. Carrying out the assignment
Wice carries out the assignment to the best of its insight and ability, as an obligation of effort. Wice cannot guarantee that a specific result will be achieved, unless that result has been expressly and unambiguously promised.
Wice may have work carried out (in part) by third parties when that is needed or desirable for a good result. These terms also apply in that situation.
Stated timelines are indicative and never strict deadlines, unless agreed otherwise in writing. Missing a timeline does not give the client a right to damages or termination.
5. Cooperation by the client
The client makes sure that all data, content and access Wice needs is available on time and in the requested form. The client is responsible for the accuracy and completeness of that material.
If the client does not provide needed information or feedback on time, Wice may suspend the work and charge any extra costs. Delay caused by the client is not for Wice's account.
6. Changes and extra work
If the client wants to expand or change the assignment while it is underway, that can affect the planning and the price. Wice tells the client about the consequences beforehand.
Work that falls outside the original assignment (extra work) is charged separately at the agreed or usual hourly rate.
7. Prices and payment
Payment is due within 14 days of the invoice date, unless the invoice or the agreement states another period. Wice may invoice in the meantime and ask for a deposit at the start of the assignment.
If payment is late, the client is in default by operation of law. Wice may then charge statutory (commercial) interest and reasonable collection costs, and suspend the work until payment has been received in full.
Complaints about an invoice must be reported in writing within 14 days of the invoice date. A complaint does not suspend the duty to pay.
8. Delivery and approval
The client reviews delivered work within a reasonable time. If no written, substantiated comments have been received within 10 working days after delivery, the work is deemed approved.
Work is also deemed approved as soon as the client starts using it or publishes it.
9. Intellectual property
All intellectual property rights in works, designs, code and concepts developed or made available by Wice remain with Wice until the client has paid all amounts due in full.
After full payment, the client receives a right to use the delivered end results for the agreed purpose. Source code, working files, concepts that were not chosen, and tooling, methods and components developed by Wice remain the property of Wice, unless agreed otherwise in writing.
Wice may use the delivered work for its own promotion and in its portfolio, unless the client objects to that in writing beforehand.
10. Use of AI and third-party services
Wice may use AI tools and third-party services while carrying out the work (such as hosting, models and APIs). Those services may be subject to the supplier's own terms.
The client is responsible for content generated or processed with AI solutions, and for how that content is used inside their own organization. Wice takes care in how AI is used, but cannot guarantee the accuracy, completeness or suitability of AI output.
11. Liability
Wice is only liable for direct damage that results from a culpable shortcoming. Liability per event is limited to the amount invoiced for the assignment in question (excluding VAT), with a maximum of the amount invoiced over the last three months.
Wice is not liable for indirect damage, such as lost profit, missed savings, data loss or consequential damage.
These limits do not apply if the damage is the result of intent or deliberate recklessness by Wice.
12. Force majeure
Wice is not obliged to meet its obligations when it is prevented from doing so by force majeure. That includes outages at suppliers, failure of internet or hosting services, illness, and other circumstances outside Wice's control.
If the force majeure lasts longer than 30 days, either party may terminate the agreement in writing for the part that has not yet been carried out.
13. Confidentiality
Wice and the client keep confidential information they receive from each other secret, and use it only to carry out the assignment. This duty continues after the agreement ends.
14. Termination
An assignment for a fixed term ends when the work is finished. Ongoing agreements can be cancelled in writing by either party with one month's notice, unless agreed otherwise.
If the client ends the assignment early, the work done up to that point and the costs incurred will be charged.
15. Applicable law and disputes
Dutch law applies exclusively to all agreements with Wice. Disputes are submitted to the competent court in the district where Wice is established, unless mandatory law appoints another court.
Wice may change these terms. The current version is always on this page. If this English version differs from the Dutch version, the Dutch version prevails.
